1. Acceptance of Terms

By accessing or using the BlackLabel Exchange Services platform (“Platform”), operated by BlackLabel Exchange Services Co., Ltd. (“BlackLabel,” “we,” “us,” or “our”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, you must not use the Platform.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and BlackLabel regarding your access to and use of our OTC cryptocurrency exchange services.

2. Eligibility

The Platform is available exclusively to registered business entities (“B2B clients”) operating lawfully within the Kingdom of Thailand or in jurisdictions where such services are not prohibited. By using the Platform, you represent and warrant that:

  • You are a duly registered business entity with a valid Thai company registration or equivalent foreign business licence.
  • You have the legal authority to enter into binding agreements on behalf of your organisation.
  • Your use of the Platform complies with all applicable laws and regulations, including anti-money laundering (AML) and know-your-customer (KYC) requirements.
  • You are not listed on any international sanctions lists.

3. Account Registration & Onboarding

Access to the Platform requires an approved account. During the application process, you agree to provide accurate, current, and complete information. BlackLabel reserves the right to decline any application at its sole discretion without obligation to disclose the reason.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised access to your account.

4. Services Description

BlackLabel provides over-the-counter (OTC) cryptocurrency exchange services, primarily facilitating the conversion of Thai Baht (THB) to Tether (USDT). Our services include:

  • Order placement and management via the Platform or authorised communication channels (Telegram).
  • Multi-exchange order routing and optimisation.
  • Blockchain-verified USDT delivery to designated wallet addresses.
  • Real-time order tracking and transaction transparency.
  • Historical reporting and analytics.

BlackLabel does not provide financial advice, investment recommendations, or custodial services. USDT is delivered directly to your specified wallet address and is not held by BlackLabel beyond the operational settlement period.

5. Order Processing & Settlement

5.1 Order Submission

Orders may be submitted through the Platform dashboard or via authorised Telegram channels. Each order specifies the THB amount, destination wallet address, and preferred network (ERC-20 or TRC-20).

5.2 Settlement Timeline

Orders are processed based on available exchange capacity. Settlement timelines depend on order size, current demand, and exchange cycle availability. BlackLabel will provide an estimated work date upon order confirmation.

5.3 Exchange Rates

Exchange rates are determined at the time of USDT purchase on the respective exchange platforms. Rates are not guaranteed at the time of order submission and may fluctuate between submission and execution.

6. Fees & Payments

Service fees are determined by your account tier and agreed upon during onboarding. Fee structures may include spread-based pricing, flat fees, or volume-based arrangements. Any changes to fee structures will be communicated at least 14 days in advance.

7. Blockchain Verification

All USDT withdrawals are verified on the respective blockchain network (Ethereum for ERC-20, Tron for TRC-20). Verification requires a minimum number of block confirmations before delivery is marked complete. BlackLabel is not responsible for delays caused by network congestion or blockchain anomalies.

8. User Responsibilities

You agree to:

  • Provide accurate wallet addresses. BlackLabel is not liable for USDT sent to incorrect addresses provided by you.
  • Comply with all applicable AML/KYC regulations and respond promptly to verification requests.
  • Not use the Platform for any unlawful purpose, including money laundering, terrorist financing, or sanctions evasion.
  • Maintain adequate security measures for your account and wallet credentials.

9. Limitation of Liability

To the maximum extent permitted by law, BlackLabel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Platform.

BlackLabel's total liability for any claim arising from these Terms shall not exceed the fees paid by you in the 12-month period preceding the claim.

10. Intellectual Property

All content, designs, logos, software, and technology comprising the Platform are the exclusive property of BlackLabel Exchange Services Co., Ltd. and its licensors. You may not reproduce, distribute, or create derivative works without prior written consent.

11. Privacy & Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal and business information.

12. Termination

Either party may terminate the service relationship by providing 30 days' written notice. BlackLabel reserves the right to suspend or terminate access immediately if it reasonably believes the User has violated these Terms or engaged in prohibited activity.

Upon termination, any pending orders will be completed or refunded at BlackLabel's discretion. Access to historical data will remain available for 90 days following termination.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from these Terms shall be resolved through binding arbitration administered by the Thailand Arbitration Center (THAC) in Bangkok, Thailand.

14. Amendments

BlackLabel reserves the right to modify these Terms at any time. Material changes will be communicated via email and/or in-platform notification at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms.
